Deliverable B - Final Terms and Conditions
1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern access to and use of Sapehive, including the website at https://sapehive.com and any related application, account, booking, communication, payment, location or file-delivery feature made available by Sapehive (collectively, the "Platform"). Sapehive is a technology marketplace designed to help Clients discover and connect with independent creative professionals.
These Terms form an agreement between each User and [ACTION REQUIRED: Insert confirmed legal entity name] ("Sapehive", "we", "us" or "our") for use of the Platform. A separate service arrangement is formed between a Client and a Creator when a Booking becomes binding under the applicable booking flow. Sapehive is not automatically the provider of the creative services merely because the Platform facilitates discovery, communication, payment or delivery.
By creating an Account, clicking an acceptance checkbox, submitting or accepting a Booking Request, making or receiving a payment, uploading or downloading files, or otherwise using the Platform, you confirm that you have read and agree to these Terms and the policies clearly presented with them. If you do not agree, do not use the Platform.
These Terms incorporate, where made available and legally valid, the Sapehive Privacy Policy, Refund and Cancellation Policy, Cookie Policy, Community Guidelines, Creator Guidelines or Creator Agreement, Copyright or Content Policy, and any feature-specific terms presented before use. Booking-specific terms accepted by the Client and Creator may supplement these Terms.

Certain Platform functions may be unavailable, under testing, limited to selected Users or locations, or introduced later. References to a function apply only where that function is enabled and available.
3. Definitions
- "Account" means a registered Client, Creator, business or other authorised user account on the Platform.
- "Booking" means a confirmed arrangement for Services that becomes binding at the stage specified in Section 10 and the applicable booking flow.
- "Booking Request" means a Client request sent to a Creator before a Booking is formed.
- "Client" means a person or entity seeking to engage a Creator.
- "Completed Work" means Services or Deliverables that a Creator represents as completed under a Booking.
- "Content" means text, images, photographs, audio, video, files, messages, reviews, profile information and other material made available through the Platform.
- "Creator" means an independent professional offering creative Services, including a photographer, videographer, cameraman, editor, drone operator where legally permitted, social-media content creator, or another approved creative professional.
- "Creator Content" means profile information, Portfolio material, quotations, messages and other Content supplied by a Creator.
- "Deliverables" means photographs, videos, edits, project files or other agreed output to be supplied by a Creator.
- "Platform Fee" means any fee charged by Sapehive for Platform services, where applicable and disclosed.
- "Portfolio" means work samples displayed by or for a Creator.
- "Raw Files" means unedited or source images, video, audio, documents or project files supplied by a Client or generated during Services.
- "Services" means the creative services offered or performed by a Creator, as distinct from technology services provided by Sapehive.
- "Service Fee" means the amount payable to a Creator for Services, excluding separately disclosed charges unless stated otherwise.
- "Third-Party Service" means a service operated by another provider and integrated with or linked from the Platform.
- "Transaction" means a payment, payout, refund, chargeback or other financial event connected with a Booking.
- "User" means any Client, Creator, authorised business representative or other person using the Platform.
- "User-Generated Content" means Content uploaded, posted, transmitted or otherwise supplied by a User.
- "Website" means https://sapehive.com and any replacement or subdomain operated by Sapehive.
4. Eligibility and Contractual Capacity
A User must be legally competent to enter into a binding contract under applicable law. A person who creates or accepts paid obligations, registers as a Creator, receives payouts, or acts for a business must have the legal capacity and authority to do so.
A User acting for a company, partnership, organisation, family, event organiser or other person confirms that the User has authority to bind that person or entity. Sapehive may request evidence of authority.
A minor must not independently enter into a paid Booking, register as a Creator, receive a payout or undertake another binding activity unless a lawful parent or guardian process has been implemented and the activity is legally permitted. Limited browsing or other non-contractual use by minors, if offered, may be subject to additional safeguards.
A person whose Account has been suspended or terminated may not create another Account to avoid the restriction without written permission from Sapehive.
5. Account Registration and Security
Users must provide accurate, complete and current information and keep it updated. Sapehive may offer separate Client and Creator account types and may require email, mobile number, OTP, identity, bank, tax or other verification where reasonably necessary.
- Keep passwords, OTPs, recovery codes and linked-device access confidential.
- Do not sell, rent, share or transfer an Account, except for authorised business access expressly permitted by Sapehive.
- Notify support@sapehive.com promptly of suspected unauthorised access, impersonation or security compromise.
- Remain responsible for activity performed through the Account to the extent permitted by law, except where caused by Sapehive or circumstances outside the User's reasonable control.
- Cooperate with reasonable security, fraud-prevention and verification requests.
Sapehive may temporarily lock or limit an Account where reasonably necessary to protect Users, investigate suspicious activity, comply with law, recover a compromised Account or prevent financial loss. Verification confirms only the checks expressly described; it is not a guarantee of identity, honesty, skill, safety, quality or future conduct.
6. Creator Registration, Profiles and Verification
A Creator must provide truthful identity, contact, skill, experience, pricing and availability information. Portfolio material must be authentic and must not falsely represent another person's work.
- Maintain all licences, permissions, registrations and qualifications legally required for the advertised Services.
- Disclose material limits, travel requirements, equipment limits, subcontracting and availability.
- Use only portfolio material for which the Creator holds the required copyright, licence, model release, privacy consent and other permissions.
- Comply with rules applicable to venues, drones, public spaces, photography, recording, music and third-party assets.
- Provide tax, bank, identity and invoice information where required by law or the payment flow.
- Do not claim false awards, badges, qualifications, clients, ratings, work history or affiliation with Sapehive.
Sapehive may review or verify information but is not required to independently verify every claim unless applicable law requires it. Any badge or verification label means only that the expressly described checks were completed at the relevant time; it is not an endorsement or guarantee.
7. Sapehive Marketplace Role and Independent Creators
Sapehive provides technology that may facilitate Creator discovery, profiles, search, communication, Booking Requests, payment status, location tools and digital delivery. Creators independently offer and perform Services. Unless expressly stated in a separate written agreement, a Creator is not an employee, agent, partner, franchisee or representative of Sapehive.
Creators generally decide how to perform Services, subject to the agreed Booking, professional duties, Platform rules and applicable law. Sapehive does not supervise every shoot, edit, meeting, journey or delivery and does not control artistic decisions or day-to-day performance.
Clients and Creators are responsible for agreeing the scope, schedule, venue, price, expenses, Deliverables, revisions, delivery timeline and usage rights. Sapehive may enforce Platform rules and assist with complaints, but that assistance does not make Sapehive responsible for every dispute or independent act.
Nothing in these Terms excludes or restricts a statutory right, consumer remedy or legal duty that cannot lawfully be excluded or restricted.
8. Search, Ranking and Creator Discovery
Where available, Users may search by city, town, village, district, current location, category, availability, rating, price, profile completeness or other filters. Search order may consider relevance, distance, availability, profile quality, response history, ratings, promotional placement and other disclosed factors.
- Search position is not an endorsement or guarantee.
- Profile availability, prices and distance may change and must be confirmed during the Booking process.
- Sapehive may change ranking systems to improve relevance, safety, integrity or business operations.
- Any sponsored or paid placement introduced later should be clearly identified where required.
- Sapehive will not describe ranking as AI-powered unless that feature is actually implemented and accurately disclosed.
9. Location Services and Maps
Where enabled, the Platform may request permission to use approximate or precise location to show nearby Creators, suggest venues, share a location after Booking acceptance, provide directions or display map pins. Users may manage device or browser permissions, although disabling location may limit features.
Location and map information may depend on GPS, network signals, user-entered addresses and Third-Party Services such as Mapbox or Google Maps. It may be delayed, approximate, incomplete or inaccurate. Users must independently confirm the exact venue, access route and meeting point.
Precise or live location must not be misused to stalk, harass, monitor or endanger another person. Sapehive is not an emergency navigation or response service, and Users should contact appropriate emergency authorities when necessary.
10. Booking Process and Formation
- A Client searches for and reviews a Creator profile.
- The Client submits a Booking Request containing available service details.
- The Platform may display a response timer.
- The Creator may accept, reject or allow the request to expire.
- The parties confirm the service scope, date, time, location, price, taxes, expenses, Deliverables, revisions, delivery timeline and usage rights.
- Payment or another confirmation step may be required, depending on the enabled flow.
- A Booking becomes binding only at the clearly disclosed stage selected by Sapehive and accepted by the parties.
Viewing a profile, saving a Creator, sending a message or submitting an incomplete request does not by itself create a Booking. An expired, rejected or withdrawn Booking Request creates no obligation to perform Services, except for obligations that already arose from a separate agreement.
A change to the date, time, venue, scope, equipment, duration, revision limit, travel, usage rights or Deliverables may require a revised quotation, additional payment, changed deadline or new Booking confirmation. Users must not rely on informal changes that are not recorded in a reasonably verifiable form.
11. Service Scope, Quotations and Changes
Before confirmation, the Client and Creator should record all material terms, including the type of photography, videography or editing; date and duration; location; number of personnel; equipment; travel; Raw File requirements; editing style; quantity, format and resolution of Deliverables; revision limits; deadline; copyright or licence terms; total price; taxes; additional charges; and cancellation terms.
Profile prices may be fixed prices, starting prices, estimates or examples. Unless expressly labelled as a final quotation, a profile price does not necessarily include travel, venue charges, special equipment, overtime, taxes, Raw Files, source project files, expedited delivery or additional revisions.
A Creator must obtain the Client's approval before incurring a material additional charge not already agreed, except for an urgent safety expense that could not reasonably be anticipated. The Client is not required to accept materially different work or charges merely because they were unilaterally added after confirmation.
12. Client Responsibilities
- Provide accurate dates, locations, contact details, service instructions and lawful Raw Files.
- Provide safe and lawful access to the venue and disclose known material hazards, restrictions and permissions.
- Obtain venue, subject, model, music, privacy and recording consents where the Client is responsible for them.
- Be present or reasonably available at the agreed time and provide timely decisions, feedback and approvals.
- Treat Creators respectfully and do not demand illegal, unsafe, abusive, discriminatory or deceptive work.
- Pay agreed amounts when due and do not abuse refunds, chargebacks or payment disputes.
- Maintain an independent backup of important Raw Files and promptly download Deliverables.
- Review Deliverables within the agreed review period and describe requested corrections clearly.
- Do not upload malware, unlawful content, intimate content without consent, or material that infringes another person's rights.
- Do not deceptively bypass a legitimately disclosed Platform Fee where an accepted Booking is subject to an enforceable fee-circumvention rule.
13. Creator Responsibilities
- Perform Services professionally, lawfully, safely and in accordance with the confirmed scope.
- Arrive or become available on time and promptly disclose a material delay, conflict or inability to perform.
- Use reasonably appropriate equipment and lawful third-party assets.
- Respect privacy, venue rules, cultural requirements and the dignity of Clients and subjects.
- Protect Client files and do not disclose, sell or misuse private photographs, videos, messages or project material.
- Deliver the agreed Deliverables within the confirmed timeline or provide a prompt, honest explanation and revised proposal.
- Issue invoices and comply with tax, licence, labour and professional obligations that apply to the Creator.
- Disclose material subcontracting and remain responsible for approved subcontractors to the extent agreed and permitted by law.
- Do not publish Client Content or Completed Work in a Portfolio without the required consent or licence.
- Retain or delete confidential Raw Files according to the Booking, applicable policy and legitimate legal or dispute-retention needs.
- Do not claim to be an employee or authorised representative of Sapehive.
14. Pricing, Fees and Taxes
A Transaction may include the Creator Service Fee, Platform Fee, convenience fee, payment-processing charge, taxes, travel, equipment, overtime, revision, cancellation or other clearly disclosed charges. Unavoidable charges should be shown before payment where required by law.
The Platform must clearly indicate whether a displayed price is fixed, a starting price, an estimate or subject to a custom quotation. The final checkout or confirmation screen should identify the amount payable and any material conditions.
Creators are responsible for their own income tax, GST, invoicing and other tax obligations unless Sapehive is legally required to collect, deduct, withhold, report or remit an amount. Sapehive does not represent that GST is collected unless the final tax and invoicing model confirms it.
15. Payments
Where payment functionality is enabled, payments may be processed by a Third-Party Service such as Razorpay. The payment provider's terms and privacy notice may apply. Sapehive may receive payment status, transaction identifiers, limited instrument information and fraud signals, but should not be described as storing full card details unless technically and legally confirmed.
- A Booking may remain unconfirmed until the required payment succeeds.
- A payment may fail, remain pending, be reversed, be declined or require additional verification.
- Sapehive and the payment provider may conduct lawful fraud, risk, sanctions or chargeback checks.
- Suspicious or unauthorised Transactions may lead to temporary Account or payout restrictions while investigated.
- Users must promptly report an unauthorised Transaction and cooperate with reasonable evidence requests.
- Currency, charges and applicable tax information should be displayed before confirmation.
- Payment and Transaction records may be retained for legal, tax, security, fraud-prevention and dispute purposes.
No payment arrangement should be called "escrow" unless a legally reviewed and technically implemented escrow structure exists.
16. Creator Payouts
Where payouts are supported, payout eligibility may depend on successful payment, Creator verification, performance status, completion evidence, the end of an applicable dispute period and lawful deductions. The Creator must provide accurate bank, identity and tax information.
- Sapehive may deduct only amounts that are lawfully due and clearly connected with the Transaction, such as disclosed Platform commission, taxes, refunds or chargebacks.
- A failed or delayed payout may result from incorrect bank details, payment-provider processing, compliance review, dispute, fraud investigation or banking outage.
- A temporary payout hold must have a legitimate, proportionate and documented basis, and notice should be provided where lawful and reasonably possible.
- Sapehive has no unlimited right to permanently withhold Creator earnings or apply an undisclosed penalty.
17. Cancellation, Rescheduling and Refunds
Cancellation, rescheduling and refunds are governed by these Terms, the Refund and Cancellation Policy, and any Booking-specific terms disclosed before confirmation. The rules should address cancellation before acceptance, after acceptance, after payment, late cancellation, mutual cancellation, Client no-show, Creator no-show, partial performance, weather, illness, venue closure, equipment failure and Force Majeure.
Charges must be fair, clearly disclosed and applied consistently. A policy must not impose an unfair one-sided penalty or remove mandatory consumer rights. A Platform or processing fee may be non-refundable only where legally valid and clearly disclosed before payment.
Where a Creator cancels without lawful justification, Sapehive may help the Client seek an alternative Creator, process an eligible refund or apply proportionate Account consequences. Where a Client cancels, any charge should reflect the disclosed policy, timing, committed work and unavoidable costs.
A claim of unsatisfactory work must be assessed against the confirmed scope, objective defects, promised Deliverables, reasonable creative discretion, communications and any opportunity to correct the issue. A difference in personal artistic preference does not automatically entitle a User to a full refund, but materially incomplete or non-conforming work may justify a remedy.
18. Service Delivery, Completion and Acceptance
Completion may be supported by a Creator completion mark, Client confirmation, upload or sharing of Deliverables, Google Drive delivery status, Platform delivery status, timestamped communication or another agreed record. A technical "delivered" status does not conclusively prove that every contractual obligation was fulfilled.
A Client should promptly report missing, inaccessible, corrupted or materially incomplete Deliverables through the available dispute process and provide relevant evidence. A Creator should be given a reasonable opportunity to correct an access or delivery problem where appropriate.
Silence after an acceptance period may be treated as administrative completion only if the period and effect were clearly disclosed before the Booking and mandatory rights remain unaffected.
19. Raw File Transfer and Digital Delivery
19.1 Client to Creator or Editor
A Client may transfer Raw Files where the feature is available. By doing so, the Client confirms that the Client owns the files or has permission to share and process them; the files are lawful and free from malware; and the transfer does not violate privacy, confidentiality, copyright or another person's rights.
The Client must maintain an independent backup. Sapehive and the Creator should not be treated as the Client's sole archival system unless a separately agreed backup service expressly says otherwise.
19.2 Creator to Client
A Creator may deliver through Google Drive, a Platform delivery centre, cloud storage, a third-party link or another approved method. Links may expire, permissions may be incorrect and Third-Party Services may be unavailable. Users should promptly test access, download important files and maintain backups.
Sapehive does not promise permanent storage, indefinite link availability, lossless transmission or guaranteed backup unless an enabled feature expressly makes that commitment. Retention and deletion periods must be disclosed in the relevant policy or interface.
20. User-Generated Content and Portfolio Licence
Users generally retain ownership of Content they upload. Uploading Content does not transfer ownership to Sapehive.
A User grants Sapehive a non-exclusive, worldwide, royalty-free and limited licence to host, store, reproduce, process, display, resize, transcode, moderate, transmit and deliver that Content only as reasonably necessary to operate, secure, improve and promote the relevant profile or Platform, subject to the Privacy Policy and the User's permissions.
The licence normally ends when the Content or Account is deleted, except to the extent required for backups, legal retention, fraud and security records, dispute evidence, already completed transactions, or prior authorised promotional use that cannot reasonably be withdrawn immediately. Sapehive must not use private Client files for general advertising without an appropriate separate permission.
- Users must hold all necessary copyrights, licences, model releases, music rights, trademark rights, privacy permissions and consents.
- Portfolio images and videos must not mislead Users about the Creator who performed the work.
- Reviews, ratings and comments remain subject to moderation and Platform rules.
- Private messages and delivery files are not public Portfolio Content merely because they pass through the Platform.
21. Copyright and Ownership of Creative Work
The Creator retains ownership of pre-existing tools, templates, methods, Portfolio material and intellectual property. The Client retains ownership of Client-provided Raw Files, subject to any rights held by third parties.
Ownership of newly created Deliverables does not automatically transfer in every case merely because payment is made. The Booking should state whether the Client receives a personal-use licence, commercial-use licence, exclusive or non-exclusive rights, social-media or advertising rights, Raw Files, source project files, or a full copyright assignment.
A copyright assignment or exclusive licence may require a separate written agreement that clearly identifies the work, rights, duration, territory and consideration. Third-party music, fonts, stock footage, templates and software remain governed by their own licences.
A Creator may display Completed Work in a Portfolio only where the Booking, a release, applicable law or separate consent permits it. The Client should be able to withhold portfolio permission for private or sensitive work without losing the core paid Deliverables unless portfolio rights were a clearly negotiated material term.
22. Reviews and Ratings
A review must reflect a genuine experience and must be honest, relevant and expressed responsibly. Users must not post fake, purchased, retaliatory, extortionate, harassing, hateful, threatening, privacy-invasive, defamatory or knowingly false reviews.
Sapehive may investigate, remove, restrict, label or decline to publish a review that violates Platform rules or law. Sapehive does not guarantee that every review has been independently verified. Aggregate ratings and Booking indicators may be displayed where available.
A User may report a review and provide evidence. Where appropriate, Sapehive should offer the affected User a reasonable opportunity to respond or appeal, without requiring Sapehive to host unlawful or abusive content.
23. Communications and Notifications
Sapehive may send account messages, OTPs, verification notices, Booking Requests, acceptance or rejection alerts, payment and payout updates, delivery notices, security alerts, support responses and policy notices by email, SMS, in-app notification, browser notification, phone call or another enabled channel.
Essential service, transaction and security communications may be sent where necessary to operate the Account or Booking. Promotional email, SMS, WhatsApp or similar marketing communications will be sent only with an appropriate legal basis and available choice. Opting out of marketing does not disable necessary security or Transaction messages.
Users must maintain accurate contact details. Delivery may fail because of network, device, spam-filter, provider or account settings, and Users should also check the Platform for important updates.
24. Chat, Calling and Communication Records
Where enabled, in-app chat, Booking messages, voice calls or video calls may be used to coordinate Services. Users must not transmit illegal, abusive, sexually exploitative, harassing, fraudulent, malware-containing or copyright-infringing material.
Sapehive may retain message content or communication metadata where reasonably necessary for delivery, safety, moderation, fraud prevention, support and dispute evidence, as described in the Privacy Policy. Sapehive will not state that calls are recorded unless recording is actually implemented with legally required notice and consent.
Communication tools must not be used to disclose another person's sensitive information, intimate content or precise location without lawful authority and consent.
25. Third-Party Services
The Platform may integrate with providers such as Supabase for authentication and database services; Cloudflare R2 for object storage; ImageKit for media delivery; Google Drive and Google APIs for file transfer; Mapbox or Google Maps for maps; Razorpay for payments; MSG91 for SMS or OTP; and providers of email, analytics, hosting, security and customer support.
Third-Party Services have separate terms, privacy practices, availability and technical limits. Sapehive is not responsible for a third party beyond the extent required by law or to the extent a loss is caused by Sapehive's own conduct, selection, configuration or failure to meet a legal duty.
A third-party disclaimer does not remove a mandatory consumer remedy or Sapehive's responsibility for its own legally actionable acts or omissions.
26. Sapehive Intellectual Property
The Platform software, interface, design, brand, logo, text, databases and other material supplied by Sapehive are owned by or licensed to Sapehive and are protected by applicable intellectual-property law. Subject to these Terms, Sapehive grants each User a limited, revocable, non-exclusive, non-transferable right to access and use the Platform for its intended purpose.
Users must not copy, sell, licence, scrape, reverse engineer, interfere with or commercially exploit the Platform except where expressly permitted by Sapehive or applicable law. No right to use the Sapehive name, logo or trademark is granted except for an approved Creator badge or link used according to published brand rules.
27. Prohibited Conduct
- Provide false information, impersonate another person or create fraudulent Accounts.
- Upload unlawful Content, malware, unauthorised copyrighted material or intimate Content without consent.
- Exploit, groom, sexualise or otherwise harm a minor, or facilitate trafficking, forced labour or abuse.
- Harass, threaten, discriminate, stalk, dox or misuse another person's precise location or private data.
- Request or perform unlawful surveillance, hidden-camera recording or privacy invasion.
- Create fake Bookings, manipulate ratings, submit fake reviews, engage in payment fraud or abuse chargebacks.
- Scrape, crawl, automate access, reverse engineer or interfere with Platform security except where expressly authorised or protected by law.
- Collect or sell another User's data without permission and a lawful basis.
- Sell or transfer Accounts, verification badges or access credentials.
- Avoid a legitimate and clearly disclosed Platform Fee through deception where a valid restriction applies.
- Use the Platform for unlawful goods, services or conduct, or violate intellectual-property, privacy, publicity or contractual rights.
Sapehive may investigate suspected violations and take proportionate action, including warning, Content restriction, payment review, Account limitation, suspension, termination or referral to appropriate authorities where legally required or justified.
28. Off-Platform Transactions and Fee Circumvention
Sapehive may permit Users to exchange contact details or may limit that exchange until a defined Booking stage. Any rule restricting off-Platform transactions must be clearly disclosed, reasonably limited in scope and duration, connected with a Sapehive introduction or accepted Booking, and supported by a legitimate purpose such as preventing fraud or protecting the Platform service model.
Sapehive will not impose an undisclosed penalty, an indefinite restriction or a term that removes mandatory legal rights. Users remain responsible for the risks of an off-Platform arrangement, including loss of Platform records, support, payment protections and dispute tools.
29. Safety and Offline Interactions
Creative Services may involve meetings in homes, studios, venues, hotels, public places or outdoor locations. Users must exercise reasonable judgment, confirm Booking and identity details, follow venue rules and avoid unsafe or unlawful conduct.
- A Client must disclose known material hazards and provide lawful access.
- A Creator may refuse or stop work that presents an immediate safety risk, violates law or materially differs from the confirmed scope.
- Users must not harass, intimidate, discriminate against or physically endanger another person.
- Users should share plans with a trusted person and use ordinary safety precautions appropriate to the venue and situation.
- Sapehive is not an emergency-response service; contact local emergency services when urgent help is required.
This Section does not excuse Sapehive from responsibility for its own negligence or another non-waivable duty.
30. Content Moderation and Rights Complaints
Users may report copyright infringement, privacy violations, impersonation, illegal Content, harassment, fraud, non-consensual Content, misleading Portfolios or fake reviews to support@sapehive.com or through an enabled reporting tool.
A notice should include the complainant's identity and contact information; a description of the protected work or right; the location of the disputed Content; an explanation and supporting evidence; a good-faith statement; and an electronic or physical signature or confirmation.
Sapehive may request further information, restrict Content while reviewing a serious risk, notify the affected User and permit a response where appropriate. Repeated or serious infringement may lead to Account action. This process is not labelled a United States DMCA process unless Sapehive intentionally adopts one.
31. Privacy and Data Protection
Sapehive's handling of personal data is governed by the Sapehive Privacy Policy and applicable law. The Privacy Policy should explain registration data, location, uploaded files, payment records, communications, verification, third-party providers, security, retention, deletion and User rights.
Consent that must be specific and separate will not be obtained merely by hiding it inside these Terms. Optional marketing choice must remain separate from mandatory acceptance of the Terms and acknowledgement of the Privacy Policy.
Sapehive may retain Transaction, fraud, safety, tax, legal and dispute records after Account closure where there is a valid legal basis. Account deletion does not necessarily cause immediate erasure of every backup or legally required record.
32. Platform Availability, Changes and Future Features
Sapehive may update layouts, correct errors, test functions, perform maintenance, restrict features by location, add or remove services and discontinue unsupported functionality. Reasonable notice should be given where a material change significantly affects a paid or confirmed service and notice is practicable.
The Platform may be affected by internet or hosting failures, maintenance, cyber incidents, third-party outages, device incompatibility, inaccurate notifications or delayed messages. Sapehive does not promise uninterrupted, error-free or permanent availability.
Future features may include mobile applications, chat, voice or video calling, live location, automated recommendations, search ranking, moderation, fraud detection, subscriptions, badges, business or team Accounts, promotional placement, APIs and international expansion. They are not represented as active merely because they are mentioned here, and additional terms may apply when introduced.
33. Account Restriction, Suspension and Termination by Sapehive
Sapehive may take proportionate action for fraud, security risk, unlawful conduct, repeated harmful cancellation, non-payment, harassment, fake Portfolios, infringement, rating manipulation, identity misrepresentation, abusive refunds or chargebacks, serious breach, or a lawful authority request.
Where appropriate and lawful, Sapehive should provide notice of the reason, an opportunity to respond and an appeal or review process. Immediate temporary action may be taken to address urgent fraud, safety, security, Content or legal risk.
Sapehive should reasonably address pending Bookings, outstanding payments or payouts, access to Deliverables and preservation of transaction records. Suspension does not give Sapehive an arbitrary right to seize Creator earnings.
34. User Termination and Account Deletion
A User may stop using the Platform and may request Account closure or deletion through the available Account control or by contacting support. Before closure, the User should cancel or complete pending Bookings, resolve payments and disputes, and download required information or Deliverables.
Data that is not required for an active purpose should be deleted or anonymised according to the Privacy Policy and applicable law. Some information may be retained for legal, tax, payment, security, fraud-prevention, backup, safety or dispute-resolution purposes.
Provisions concerning accrued payments, intellectual property, confidentiality, disputes, liability, fraud and security records, legal retention, completed Transactions and provisions that by nature should survive will continue after termination.
35. Disclaimers
To the maximum extent permitted by applicable law, the Platform is provided on an "as available" basis. Sapehive does not guarantee Creator availability, profile accuracy, artistic satisfaction, search order, map accuracy, uninterrupted access, permanent file storage, third-party availability or that every User will comply with these Terms.
Creative results may involve professional judgment and subjective preferences. Equipment, venue, weather, internet, access permissions and third-party systems may affect performance. Users should confirm material terms and maintain appropriate backups.
These disclaimers do not exclude statutory rights, mandatory consumer remedies, or liability that cannot legally be excluded.
36. Limitation of Liability
To the maximum extent permitted by applicable law, Sapehive will not be liable for indirect, incidental, special or consequential loss, or loss of profit, opportunity, goodwill or data, arising solely from independent User conduct, a Third-Party Service, service interruption or failure to maintain a backup, except where the loss is legally attributable to Sapehive and cannot be excluded.
Any limitation must be interpreted fairly in light of the Transaction, consumer status, Sapehive's role and applicable law. Nothing excludes liability for fraud, wilful misconduct, gross negligence where non-excludable, death or personal injury caused by legally actionable negligence, non-waivable consumer rights, statutory liability, or Sapehive's breach of a non-excludable data-protection duty.
37. Indemnity
To the extent permitted by law, a User is responsible for reasonable third-party claims, losses and costs arising directly from that User's unlawful Content, intellectual-property infringement, fraud, material breach, unlawful service conduct, privacy violation, or tax or licensing failure that is legally the User's responsibility.
This indemnity does not require a consumer to compensate Sapehive for Sapehive's own negligence, unlawful conduct or breach. Sapehive must give reasonable notice of an indemnified claim and allow reasonable cooperation in its defence or settlement, subject to urgent legal obligations and protection of other Users.
38. Complaints and Grievance Redressal
Complaints may concern Bookings, payments, payouts, refunds, Creator or Client conduct, Content, copyright, privacy, safety, Account action or another Platform issue. Submit a clear description, relevant Booking or Transaction reference, supporting evidence and the remedy requested.

Sapehive may request information, preserve relevant records, contact the other party and propose a resolution. A consumer retains the right to approach a competent consumer authority, commission or court where applicable.
39. Dispute Resolution
- The Client and Creator should first attempt good-faith written communication.
- A User may submit a complaint to Sapehive support with relevant evidence.
- Sapehive may conduct an internal review or facilitate a non-binding resolution.
- The parties may use mediation or another mutually agreed process where appropriate.
- Unresolved disputes may proceed to competent courts or arbitration only as legally valid and properly disclosed.
Sapehive will not automatically force every consumer dispute into arbitration without legal review. If arbitration is adopted, the clause must comply with the Arbitration and Conciliation Act, 1996, identify the number and fair appointment of arbitrators, seat, venue, language and fee allocation, and preserve interim relief and non-waivable consumer rights. Sapehive must not have unilateral control over arbitrator appointment.
40. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any jurisdiction provision remains subject to mandatory consumer-protection law and other non-waivable rights.
41. Changes to These Terms
Sapehive may update these Terms to reflect legal, security, technical, operational or feature changes. The current version should be published with a revised date. Material changes may be communicated by email, Account notice or Website notice.
Changes should normally apply prospectively and should not unfairly alter an already confirmed Booking without appropriate agreement or legal basis. Continued use after effective notice may indicate acceptance where legally valid. A User who does not agree may stop using the Platform, subject to obligations already incurred.
42. Electronic Communications, Acceptance and Records
Where legally permitted, Users agree to receive contractual notices electronically by email, SMS, Account notification, Website notice or downloadable document. Users must keep contact details current.
Electronic proposals, acceptances, clickwrap confirmations and Transaction records may be used to evidence acceptance and activity, subject to applicable law. Sapehive should use a mandatory, unchecked acceptance box at Account creation and any material transaction stage where renewed acceptance is required.
Optional marketing consent must not be bundled into this checkbox and must never be pre-checked.
43. Force Majeure
A party will not be treated as breaching an obligation solely because performance is prevented by an event beyond reasonable control, such as a natural disaster, flood, severe weather, government restriction, widespread power or telecommunications failure, civil unrest, epidemic or public-health restriction, venue shutdown or major third-party infrastructure outage.
The affected party must notify the other party where reasonably possible, take reasonable steps to reduce the impact and consider rescheduling. Where performance becomes impossible, refunds and deductions must be addressed fairly under the applicable policy and law. Ordinary equipment, staffing or planning problems are not automatically Force Majeure.
44. General Legal Provisions
44.1 Entire Agreement and Order of Precedence
These Terms, incorporated policies and accepted Booking-specific terms form the agreement concerning the Platform and relevant Booking. A Booking-specific term controls only for the specific service issue it clearly addresses; these Terms control Platform use; and mandatory law controls in all cases.
44.2 Severability and No Waiver
If a provision is held invalid or unenforceable, it will be limited or removed only to the extent necessary and the remaining provisions will continue. Failure to enforce a provision once is not a waiver of future enforcement.
44.3 Assignment and Business Transfer
A User may not transfer an Account or contractual right without permission where the transfer would affect security, payment or another party. Sapehive may transfer these Terms as part of a lawful merger, restructuring, financing or sale of business, subject to notice and applicable rights.
44.4 Relationship and Third-Party Rights
These Terms do not create a partnership, joint venture, agency, franchise or employment relationship between Sapehive and an independent Creator. A Third-Party Service may enforce its own terms, but no other person receives a right under these Terms unless expressly stated or required by law.
44.5 Notices, Language and Interpretation
Official notices may be sent using the contact details in the Account or published through the Platform. Headings are for convenience. Words such as "including" are illustrative and not limiting. An accessible translation may be offered, but [BUSINESS DECISION REQUIRED: Confirm the controlling language and translation policy].
44.6 Survival
Provisions concerning accrued payment, intellectual property, confidentiality, records, complaints, disputes, liability, indemnity and any term intended by its nature to continue will survive termination.

By completing the applicable acceptance step, the User confirms that the User had a reasonable opportunity to read these Terms, understands the distinction between Sapehive's Platform services and a Creator's independent Services, and agrees to be bound by these Terms and the Booking-specific terms accepted by the User.
Deliverable E - Acceptance Implementation Guidance
This guidance is operational and should be implemented together with the final Terms, Privacy Policy and Refund and Cancellation Policy.
Placement of Links
- Place persistent Terms and Privacy Policy links in the Website footer, signup and login screens, Creator onboarding, checkout or Booking confirmation, payment screen, and relevant mobile-app settings.
- Show Refund and Cancellation Policy before a paid Booking is confirmed.
- Provide Creator Guidelines or Creator Agreement during Creator onboarding and when material Creator obligations change.

Use an unchecked checkbox that the User must actively select. Do not use a pre-checked box, hidden link, passive footer-only acceptance or confusing double negative.

Keep an auditable version history. Do not overwrite the text of an old version without preserving the version accepted by existing Users.
Renewed Acceptance
Require renewed affirmative acceptance when a material change affects payment, cancellation, rights in Content, dispute resolution, liability, data use or another significant User obligation. Inform Users before the new version becomes effective and avoid retroactively changing an existing Booking.
Separate Marketing Choice
Keep optional promotional email, SMS or WhatsApp consent in a separate unchecked control. Refusal of marketing consent must not prevent access to a service unless the marketing is genuinely necessary for that service, which is uncommon.
